Why is Honeywell licensing technology?

Honeywell often develops more products, processes and applications than we could ever fully use ourselves. We must select the most promising to us as a company and pursue those. However, this leaves us with an incredible catalog of intellectual assets from which others might benefit. If you have identified a Honeywell technology, which might be valuable to you, we are anxious to explore a mutually beneficial business arrangement to provide you with access to this technology.

Why does Honeywell license technology it still uses?

Honeywell generally derives the greatest value from its technology by investing in facilities to manufacture and market products based on that technology. Honeywell often reinvests in technologies to expand capacity and/or to build new production lines. However, for numerous reasons, Honeywell may choose to limit continuing investment in a technology or product line. In order to continue to generate value from the basic technology and the improvements developed, Honeywell, despite its continuing use of the technology, may choose to license the technology to others so they may capitalize on Honeywell's knowledge and invest in their own manufacturing facilities.

Are technologies other than those on the website also available to license?

Yes, the "Browse all Technologies" section shows a broad view of the areas that Honeywell applied science touches. Since Honeywell has done basic as well as applied research, the company owns leading edge technology in a wide spectrum of engineering and science. I have seen an interesting listing on your site; how do I proceed?

While viewing the technology you can either request an introduction or ask a question about the technology by clicking the associated button on the left-hand navigation bar. When requesting an introduction you will be contacted to verify your contact information. This information will then be sent to the appropriate contact point at Honeywell. They will review your request and then contact you for an initial meeting. When asking a question, the greater the amount of description of your need, the more likely we will be able to respond to your question quickly.

How much does a license cost?

The price for a license depends on a number of factors starting with a negotiation of the technology value as seen through the eyes of the licensor and licensee. Typically, negotiation starts with an expression of interest by a potential licensee followed by a proposed term sheet prepared by the licensor. The price of the license will also be influenced by whether the license is for exclusive or non-exclusive rights, the geographical region, the fields of use and other considerations.

Does Honeywell assist a licensee in using/adopting a technology?

Yes. Honeywell may agree to assist a licensee to use or adapt a technology. Of course, that decision will be made on a case by case basis following discussion between Honeywell and the potential licensee. It is in Honeywell's best interest for the licensee to be able to utilize licensed technology as fast and efficiently as possible.

Are you willing to donate technology to a non-profit organization?

Possibly. When development on a Honeywell technology is discontinued due to a shift in business strategy, we may find that a very productive use for that embryonic technology is to donate that technology to a non-profit organization. This process puts the technology in the hands of a competent researcher, usually at a university, where the development work can be continued. The recipient of the technology gift may then generate revenues for the institution by licensing or sale of the technology.

Does sale of a technology mean Honeywell is exiting a business?

Not at all - Honeywell businesses are constantly engaged in the process of evaluating their current technology programs, in light of their business strategies. When strategies change, the underlying technology programs must change also. This shift in research priorities may result in valuable technologies, which no longer support current business plans, becoming available for sale.

Does Honeywell offer patent licenses, engineering packages, both, other?

Depending on your need, we offer all of these.

Are you licensing your latest and best technology?

Yes. Given the right business proposal, our newest and best technology can be made available. Honeywell retains the right to discontinue discussions just as parties requesting technology can decide to discontinue discussions at any time.

Can I visit Honeywell for a face-to-face meeting to discuss my technology or need for a technology?

Yes. It is always more cost effective for both parties to begin dialogue by phone, e-mail, and regular mail before spending time and travel expense to visit.

Can I speak to a licensing manager?

What is a trademark license?

A trademark license is an agreement between a trademark owner (the “licensor” here Honeywell) and another entity (the “licensee” here your company) in which Honeywell would permit your company the ability to use the Honeywell trademark in commerce. The trademark license is expressed in a written contract specifying the scope of the license.

What provisions are essential to a trademark license?

A trademark license will identify:
 the trademark
 the licensor and the licensee
 the trademark right(s) to be licensed, and
 the nature and quality of the goods and services that the licensee will offer under the trademark.

Why is a licensor required to exercise quality control over a licensees goods and services?

Control is needed because a trademark represents the trademark owner’s reputation in goods and services of a certain level of quality and consumers tend to rely upon this reputation in making purchasing decisions. If a licensor does not exercise sufficient control over the quality of the goods and services offered by the licensee, the registration may in some countries (for example, the United Kingdom) become vulnerable to attack by the licensee or a third party. In other countries, such as the United States, the trademark may be deemed abandoned.

When is Brand Licensing most successful?

When both parties are committed to the success of the program.
The Brand has best chance of success when:
 There is high Brand awareness amongst the customer group (this can be all customers, a significant niche market, or a key demographic group)
 The Brand has a distinct personality
 The Brand holds a meaningful and unique positioning in the marketplace
 The Brand has the ability to lend itself to natural brand extensions

How long does it take to secure a licensing deal?

There is no standard amount of time. It is dependent upon the time committed to secure the agreement, the type of product, the competitive environment, etc. However, a licensing business model enables relatively quicker market entry than other alternatives (buy/brand/sell, manufacture, acquisition, etc).
